Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VILA Properties investment platform (the "Service") provided by Aram Vila Properties L.L.C ("VILA", "we", "us", or "our"), a real estate brokerage licensed in Dubai, United Arab Emirates. By creating an account, downloading our app, or using any feature of the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts in your country of residence. The Service is provided for use by individuals lawfully permitted to receive UAE real estate information. By using the Service you confirm that you meet these requirements and that your use of the Service does not violate any law applicable to you.

2. Account Creation and Security

You may sign in via email + one-time password, phone + one-time password, or Google. You are responsible for keeping your sign-in credentials secure and for all activity under your account. Notify us at info@vila.ae if you suspect unauthorized access. We may suspend or terminate accounts that show signs of fraud, abuse, or sharing across multiple users. You can delete your account at any time from the in-app settings (Account > Delete Account) or by emailing info@vila.ae. Deletion is permanent and irreversible after a 90-day reversal grace period. Some records may be retained as described in our Privacy Policy.

3. Description of the Service

The Service helps you discover Dubai off-plan and ready property investments. Features include property search, area and developer profiles, an AI assistant, the BuyAbility affordability calculator, the ROI calculator, the Mortgage calculator, the Match Quiz, country-specific buyer guides, and direct contact with VILA's advisors. We provide informational tools and customer service — we are not your investment advisor, lawyer, accountant, or mortgage broker.

4. Property Listings Disclaimer

Property listings (titles, prices, layouts, delivery dates, developer details, photos) are sourced from Behomes, a third-party real-estate data provider, and from public information published by developers. Prices and availability may change without notice. VILA does not guarantee the accuracy, completeness, or current availability of any specific listing. Always verify pricing, layouts, and handover dates with VILA's advisors before relying on them for any commitment.

5. AI Assistant Disclaimer

The AI assistant in the Service uses a large language model to generate responses. Its output is informational only and may contain errors, outdated facts, or misunderstood context. AI responses are not legal advice, financial advice, tax advice, mortgage advice, or investment recommendations. Do not rely on AI output for important decisions. For specific guidance, speak with a licensed professional or contact VILA directly.

6. Calculators Disclaimer

The BuyAbility, ROI, and Mortgage calculators provide estimates based on the inputs you supply and the assumptions stated in each calculator (such as default mortgage rates, average rental yields, and typical ownership costs). Estimates are illustrative only. They are not a loan offer, a guaranteed yield, or a binding price. Actual outcomes will depend on the property you choose, the bank you work with, market conditions, and your individual circumstances. For a tailored quote, consult VILA, a licensed mortgage broker, or your financial advisor.

7. Buyer Guides Disclaimer

Country-specific buyer guides describe general considerations for residents of those countries when buying Dubai property. Guides are written from publicly available information and may not reflect recent changes in tax law, foreign-exchange rules, or treaty obligations. They are not legal advice or tax advice. Consult a qualified professional in your country before relying on guide content for any transaction.

8. Acceptable Use

You agree to use the Service only for lawful purposes. You will not: • Use the Service to violate any law or regulation in your country or in the UAE. • Bypass authentication, rate limits, or other security controls. • Submit false personal data, impersonate another person, or operate multiple accounts to evade limits. • Scrape, crawl, copy, or systematically download data from the Service. • Use automated tools, bots, or scripts to interact with the Service. • Reverse-engineer, decompile, or extract the source of the Service or its components. • Use the Service to send spam, harass other users, or distribute malicious code. • Resell, sublicense, or commercially exploit any portion of the Service without prior written consent.

9. Intellectual Property

The Service, including all software, design, copy, calculators, AI prompts, brand elements, and original content, is owned by Aram Vila Properties L.L.C and protected by UAE and international intellectual property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. You may not copy, modify, redistribute, or create derivative works of the Service. Property listing content originates from third parties (developers and Behomes) and is used by VILA under separate agreements.

10. User Content

When you submit content to the Service (such as messages to our AI assistant, property requests, or comparison lists), you grant VILA a worldwide, royalty-free, non-exclusive license to use that content for the purpose of providing and improving the Service. You retain ownership of your submissions. You represent that your submissions do not violate anyone's rights and contain no unlawful, infringing, or confidential information.

11. Mobile App Distribution

The VILA app is distributed via the Apple App Store, Google Play, and as a progressive web app at invest.vila.ae. Use through the Apple App Store is also subject to Apple's End User License Agreement and App Store Terms. Use through Google Play is also subject to the Google Play Terms of Service. Where those store-specific terms conflict with these Terms, the store terms prevail for that distribution channel only. If you opt into marketing notifications during sign-in and grant push permission to the iOS or Android app, VILA may send push notifications about new property launches, advisor replies, and request status updates via OneSignal. We never send transactional pushes (such as advisor replies) without first having received a registered OneSignal subscription identifier for your device; we never send marketing pushes unless you opted in. You can disable notifications at any time from your device's system settings.

12. RERA and DLD Compliance

Aram Vila Properties L.L.C is a real estate brokerage licensed by the Real Estate Regulatory Agency (RERA) in Dubai. Our brokerage activities are governed by Dubai Land Department (DLD) regulations. Property listings shown in the Service are made available for informational purposes and do not constitute binding offers. Any actual transaction is finalized through VILA's licensed advisors and the relevant developer in accordance with DLD procedures, including escrow, registration, and Madmoun verification where applicable.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, violated applicable law, or used the Service in a way that damages VILA or other users. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) remain in effect after termination.

14. Disclaimers of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any specific result will be achieved through your use of the Service.

15. Limitation of Liability

To the maximum extent permitted by UAE law, VILA's total liability arising out of or relating to the Service is limited to AED 1,000 (one thousand dirhams) or the amount you paid VILA for the Service in the 12 months preceding the claim, whichever is greater. VILA is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or loss of goodwill, even if advised of the possibility of such damages. Property transactions are concluded between you and the relevant developer or seller; VILA's role is brokerage and advisory.

16. Indemnification

You agree to indemnify and hold VILA, its directors, employees, and agents harmless from any third-party claim, damage, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your violation of any law, or your infringement of any third-party right.

17. Modifications

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were most recently revised. For material changes, we will post a notice in the app and, where practical, email registered users at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Any dispute arising out of or relating to the Service or these Terms will be submitted to the exclusive jurisdiction of the Dubai Courts, unless both parties agree in writing to arbitration under the Dubai International Arbitration Centre (DIAC) rules. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VILA regarding the Service. They supersede any prior agreements or understandings, written or oral, on the same subject. Headings are for convenience only and do not affect interpretation.
